Hi Boofo,
If you want to install Norton 360, please uninstall NIS 2010 beforehand - do not install Norton 360 over NIS. If NIS is the only product on your computer, then you can follow these instructions:
Depending on the edition (Standard or Premier) of Norton 360 you have got, please download the latest installation package from the appropriate link below and save it to your desktop (you can use your version 3 key to activate version 4):
Norton 360 Standard Edition version 4 (English)
http://buy-download.norton.com/downloads/CLT/N360/
Norton 360 Premier Edition version 4 (English)
http://buy-download.norton.com/downloads/CLT/N360P
Download and save the Norton Removal Tool to your desktop from over here:
http://www.symantec.com/norton/support/kb/web_view
NOTE: The Norton removal tool will wipe out any other Norton products installed on your computer, so only use the removal tool if NIS is the only product on your computer.
Also, please keep your Norton 360 product key ready. You can get it from your Norton account over here:
https://www.mynortonaccount.com/amsweb/default.do
Also, if you use Identity Safe, back it up and then you can import it to Norton 360 afterwards:
Please disconnect from the internet and run the removal tool twice, rebooting after each run, to remove NIS 2010. Then install Norton 360 and connect to the internet when it wants to connect to the web. Type in your product key and run LiveUpdate afterwards.
You can read more on Norton 360 version 4 features over here:

what is the main differences between NIS 2010 and Norton 360? Will I be losing anything going to 360 from NIS? Or will I gain some things? Thank you in advance.
Norton 360 includes additional features for Backup/Restore and PC Tuneup; these features are not available with NIS 2010. If you are having existing subscription for NIS, then you will loose that subscription when you install Norton 360 as products are different. Better wait for the current subscription of NIS to end, and then follow the steps mentioned by Yaso_Kuuhl (Guru) above, so that you won't loose any subscription days from NIS.

Norton 360 4.0 is built on the NIS 2010 engine, and so it will run as lightly as NIS 2010. As I posted above, you may loose the 600 days of subscription from NIS 2010 if you install Norton 360 now. As Norton 360 is entirely different product (with additional features) from NIS 2010, the current subscription from NIS 2010 won't carry over to Norton 360. You can wait till the subscription ends and then use the Norton 360 key. There won't be any problem with that. If you face any problem with subscription at that time, you can contact the Symantec Customer Service. Or, if you are ready to loose the 600 days subscription of NIS, you can go ahead and uninstall NIS 2010, then install Norton 360.
