I now managed to solve the problem on my own - in fact it was quite simple.
The upgrade procedure seems to be faulty in some way, I tried several times with always the same activation-window-bug.
The solution is to simply deinstall everything, download the NIS 2010 trial and voila - it works immediately... strangely enough it even remembered that I had 145 days left, although I did a complete uninstall and ran norton removal tools twice...

Try downloading the NIS 2010 trial version from here, run the removal tool to remove the buggy version of NIS 2010 and install the trial version.
